By downloading, installing, or using Call Assistant (the "Software"), you agree to be bound by this Agreement. If you do not agree to these terms, please do not install or use the Software.
This Agreement applies specifically to Call Assistant. Where it conflicts with the general Terms of Service at https://osavus.com/terms.html, this Agreement prevails for this Software. Our handling of data in connection with the Software is described in the privacy policy at https://callassistant.osavus.com/privacy-policy.html.
1. License
We grant you a personal, non-exclusive, non-transferable license to install and use the Software on Mac computers you own or control, free of charge, for any purpose, including commercial use.
The Software is licensed, not sold. We retain all rights not expressly granted here.
2. Restrictions
You agree not to:
- Redistribute, sell, rent, sublicense, or otherwise make the Software available to third parties
- Modify, reverse engineer, decompile, or disassemble the Software
- Remove or obscure any copyright or proprietary notice within the Software
- Use the Software to record any person unlawfully or without the consent the law requires (see section 5)
These restrictions do not apply where mandatory law gives you the right to act anyway, or where an open-source license covering a component of the Software grants you broader rights. In either case, that right prevails over this section. See section 10.
3. Eligibility
You must be at least 16 years old and legally able to enter into this Agreement. Because the Software records conversations, we do not make it available to younger users, including with parental consent.
You may not use the Software if you are located in, or are ordinarily resident in, a country or territory subject to European Union or United States comprehensive sanctions, or if you appear on an applicable restricted-party list.
4. The Audio Driver and Changes to Your Mac
To capture the audio your Mac plays, the Software installs a system audio driver named "Call Assistant Speaker". Installing it requires your administrator password and places a component outside your user account, in the system-wide audio plug-in folder. The Software also requests macOS permission to use your microphone.
You consent to these changes when you approve them. They alter your Mac's audio configuration and remain in place until removed. Removal instructions are in section 7 and in the documentation.
5. Recording, and the Law Where You Are
The Software records audio from your microphone and from your Mac's audio output, so it captures both sides of a conversation. It does not join the call, does not announce itself, does not notify other participants, and does not request their consent.
The law on recording conversations differs by country, state, and context. Many jurisdictions require the consent of some or all participants, and some make undisclosed recording a criminal offence.
YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHAT THE LAW REQUIRES OF YOU AND FOR OBTAINING ANY CONSENT YOU NEED, BEFORE YOU RECORD.
Recording in breach of section 2 terminates this license automatically.
To the extent permitted by law, you will hold us harmless against any claim brought against us by a third party arising from your recording. This paragraph does not apply where you are acting as a consumer and mandatory law prevents it.
6. Your Anthropic API Key, and What It Costs You
The Software's AI features require an API key from Anthropic, which you obtain and pay for directly under your own agreement with Anthropic. We are not a party to that agreement, we do not resell Anthropic's service, and we receive no part of what you pay them. Your use of those features must comply with Anthropic's own terms and usage policies.
We are not affiliated with, endorsed by, or sponsored by Anthropic. "Anthropic" and "Claude" are trademarks of their owner and are used here only to identify the service the Software connects to.
You are responsible for all charges incurred on your key, including those arising from your use of the Software. The Software shows a running cost and offers an optional per-session spending cap. The cap is enforced by the Software on your own Mac and stops it making further calls once reached. It is not enforced by Anthropic, it may be inaccurate, and it does not limit what you owe Anthropic. If you need a hard limit, set one in your Anthropic account.
Transcription runs locally on your Mac and requires no key and no payment.
7. Your Data
Recordings, transcripts, notes, and derived data are stored as ordinary files on your own Mac, under your user account. We do not receive them, cannot access them, and do not store them anywhere. Your API key is held in the macOS Keychain. The Software has no account and no sign-in.
The Software makes network connections only to:
- Anthropic: the transcript text and context needed for the AI features you have switched on, using your key. Turn those features off and the Software makes no calls to Anthropic.
- Hugging Face: to download the speech-recognition model you choose. This discloses your IP address to that provider under its own terms.
- Our update service: to check whether a newer version exists.
The update check sends no information about you or your use of the Software. As any internet request does, it discloses your IP address, your macOS version, and the version of the Software you are running to our hosting provider, where it appears in ordinary server logs. We do not use those logs to identify or profile you, and we do not combine them with anything else. There is no telemetry, no analytics, and no behavioural tracking.
The Software can expose your call history to other applications on your Mac through a read-only local interface, which is off unless you enable it. Once enabled, any application you connect to it can read that history and may transmit it under its own terms. What leaves your Mac through that route is determined by the application you connect, not by us.
To remove everything, delete the Software, its data folder in your Library, any downloaded model, its Keychain entry, and the "Call Assistant Speaker" driver from the system audio plug-in folder. 8. Updates
The Software can check for and install updates. It verifies a cryptographic signature on each update before applying it and rejects any that does not verify. This mechanism is described so that you know how it works and is not a warranty. Section 9 applies to it as to everything else.
You may decline any update. We may stop supporting older versions at any time.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Software will be uninterrupted or error-free
- Defects will be corrected
- Recordings will be captured completely, or at all
- Transcripts or AI-generated summaries, actions, or analysis will be accurate
- The Software will run on any configuration other than the one stated in the documentation
Automatic speech recognition and language models make mistakes, including confident ones. DO NOT RELY ON THE SOFTWARE'S OUTPUT WHERE ACCURACY MATTERS WITHOUT CHECKING IT AGAINST THE RECORDING.
No support is provided. Documentation is published at https://callassistant.osavus.com and is offered without commitment.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OSAVUS TECHNOLOGY LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, RECORDINGS, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY.
Because the Software is supplied free of charge, our total aggregate liability to you shall not exceed one hundred euros (EUR 100).
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for intentional breach or gross negligence, for death or personal injury caused by negligence, for fraud, or any statutory rights you have as a consumer.
11. Third-Party Software and Models
The Software includes open-source components under their own licenses, listed in the third-party notice available in the app and at https://callassistant.osavus.com/third-party-notices.html. Some are under file-level copyleft licenses that entitle you to their source, and the notice tells you how to obtain it. Those components remain licensed under their own terms, not these, and where those terms conflict with this Agreement, they prevail as to those components.
Speech-recognition models are not part of the Software. They are provided by their publishers under their own licenses, which you accept when you download them and which may restrict how you may use the model. The license in section 1 does not extend to them.
12. Term and Termination
This license continues until terminated. It terminates automatically if you breach it. You may terminate at any time by deleting the Software.
Because the Software runs entirely on your own Mac and has no account, we cannot and do not suspend or revoke access to a copy you have already installed.
Sections 1 (second paragraph), 5, 6, 9, 10, 11, 13, and 14 survive termination.
13. Governing Law and Disputes
This Agreement is governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions, except that if you are a consumer you keep the protection of the mandatory law of your country of residence, which is unaffected by this choice.
Proceedings may be brought before the courts of Estonia. If you are a consumer resident in the European Union, you may instead bring proceedings in the courts of your own country of residence, and we may bring proceedings against you only there.
14. Severability and Entire Agreement
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
This Agreement, together with the third-party notice and the privacy policy, is the entire agreement between us concerning the Software and supersedes anything said or written before. Our failure to enforce a provision is not a waiver of it.
15. Changes to This Agreement
We may change these terms for future versions of the Software. Changes apply to versions released after the change. The terms you accepted continue to govern the version you have installed, and continued use of that version is not acceptance of any later terms.
